Seraph Group operates as a venture capital fund with a unique co-investment feature for its limited partners (members). Each member joins Seraph Group by committing capital to a limited partnership fund managed by the General Partner. The investment committee of the fund makes an investment first with the fund’s capital, then brings the opportunity to our members for co-investing. 80% of each investment made by the fund is available for members to purchase at the same terms and conditions. This unique feature allows each member to tailor his or her own risk level and investment preference.

The process is simple and efficient. After a company receives an investment from the fund, Seraph Group’s staff will hold a member-only meeting in selected locations. Members, armed with information from the investment memorandum, will attend the presentation by the company and decide afterwards whether to co-invest. Seraph Group’s staff handles all of the logistics and the administrative tasks.

Co-investment in each deal is completely optional.  When a member chooses to co-invest, he increases his stake in the respective company. The fund will have a minimum of 20% stake in every investment. A member, regardless of whether he chooses to co-invest, will always have a stake in each of the company through his committed capital in the fund.
